TERMS AND CONDITIONS OF SERVICE

1 Definitions

  • Interlinked: The SaaS service provider.
  • Customer or User: Individual or legal entity contracting or using the Services.
  • Services: Intelligent agents, message automation, reminders, dashboards, integrations, and other products offered by Interlinked.
  • Customer Data: Information, content, databases, and/or documents that the Customer uploads or makes available to Interlinked to provide the Service.
  • End Users: Contacts with whom the Customer interacts via WhatsApp, Facebook, or Instagram.
  • Plan: Monthly, quarterly, semi-annual, or annual subscription published on the site.
  • Meta Platforms: WhatsApp, Messenger (Facebook), and Instagram, and their APIs.

2 Object

Interlinked provides multi-channel support and automation Services through AI agents. These Terms govern the relationship between the Customer and Interlinked.

3 Registration and Access

  • The Customer declares that the provided information is true, complete, and up-to-date.
  • Access is personal and non-transferable. The Customer is responsible for safeguarding their credentials and for the use of their account.
  • Interlinked may suspend or cancel accounts in cases of breach, fraud, abusive use, or security risks.

4 Scope of Service and Dependencies

  • The operation of the Services depends on third-party APIs and policies (e.g., Meta, Stripe, hosting services). Interlinked does not control their availability, changes, or costs.
  • The Customer agrees to comply with Meta's messaging policies, including the 24-hour window and the use of templates outside that window, as well as opt-in/opt-out where applicable (see §11).

5 Plans, Pricing, and Billing

  • Prices in MXN (or USD as indicated) and include VAT (unless otherwise stated).
  • Payments are made in advance via Stripe; Interlinked does not store card data.
  • CFDI (invoice) is issued if the Customer provides complete fiscal data.
  • Interlinked may modify prices with at least 15 days' notice before renewal.
  • Messaging charges (e.g., conversations or templates) from Meta Platforms may be billed or passed on to the Customer when applicable.
  • Overage Charges: In the event that the Customer exceeds the message limit included in their contracted Plan, Interlinked will automatically charge for the excess messages at the end of the billing cycle or when determined by the system, using the registered payment method. The cost per additional message is detailed in the current price list. The Customer expressly authorizes these variable charges derived from their consumption.

6 Renewal, Cancellation, and Refunds

  • The subscription renews automatically unless cancelled prior to the charge date.
  • Cancellation: via the dashboard or by email to [email protected]. Interlinked will confirm in writing.
  • Refund: if the agent has not been activated (no real traffic or send/receive), 80% of the paid period is refunded.
  • There are no partial refunds for unused periods once the agent is activated.
  • Upon cancellation, Interlinked deactivates the agent and processes data deletion or return according to the Notice and DPA Annex.

7 Acceptable Use

  • It is prohibited to use the Services for spam, illicit activities, impersonation, phishing, sending illegal content, hate speech, or harassment.
  • The Customer shall review and validate information and responses generated by AI before acting. Interlinked does not offer legal, medical, or financial advice.
  • Scraping platforms in violation of their terms is prohibited.

8 Data, Content, and Limited License

  • The Customer retains ownership of Customer Data and content uploaded.
  • The Customer grants Interlinked a limited, non-exclusive, revocable license to use Customer Data solely for the purpose of providing the Services.
  • No AI Training: Interlinked will not use Customer Data (including data retrieved from Google Workspace APIs) to train, retrain, or improve generalized Artificial Intelligence or Machine Learning models.
  • Unless otherwise agreed, AI outputs are licensed to the Customer for commercial use, without warranties of accuracy or fitness for a particular purpose.

9 Intellectual Property

  • Interlinked's software, documentation, trademarks, interfaces, and materials are the exclusive property of Interlinked or its licensors.
  • Copying, decompiling, modifying, or distributing the software outside the purposes of the Service is prohibited.
  • Third-party trademarks (e.g., Meta/WhatsApp/Instagram/Facebook) belong to their owners.

10 Security

Interlinked applies reasonable administrative, technical, and physical measures to protect information; details are described in the Notice and the DPA Annex.

11 Meta Platforms Clause

  • 24-hour Window: The Customer can only send free-form messages within 24 hours of the user's last message; outside that window, only via approved templates or permitted tags.
  • WhatsApp Opt-in: For business-initiated messages, the Customer must obtain and retain valid user opt-in and honor opt-out/STOP requests. Interlinked may block sending deemed non-compliant.
  • Responsibility for Blocking: If the Customer's WhatsApp Business account, Facebook Page, or Instagram Account is blocked, suspended, or restricted by Meta due to a violation of its Commerce Policies or Community Standards, Interlinked shall not be liable nor obligated to provide refunds for the remaining service period. Compliance with Meta's regulations is the sole responsibility of the Customer.

12 Electronic Consumer Compliance (Mexico)

The parties agree to display the provider's identity and contact information, show total prices before payment, provide accessible T&C and Notice before contracting, and offer a simple cancellation mechanism.

13 Warranties and AI Disclaimers

The Service is offered "as is" and "as available". Interlinked does not guarantee 100% availability or total absence of errors, especially due to third-party failures (Meta, Stripe, telecommunications).

Artificial Intelligence Disclaimer: The Customer acknowledges that the Services use generative Artificial Intelligence, a probabilistic technology that may produce inaccurate information or "hallucinations". Interlinked does not guarantee the absolute accuracy of generated responses. It is the Customer's sole responsibility to monitor interactions and correct any erroneous information provided by the Agent to End Users.

14 Limitation of Liability

Interlinked's total liability is limited to the amount actually paid by the Customer in the 12 months prior to the event giving rise to the claim; indirect damages or lost profits are excluded to the extent permitted by law and without affecting non-waivable consumer rights.

15 Changes to Service and Terms

We may update features or Terms, notifying at least 15 calendar days in advance. If a change materially affects the service, the Customer may cancel without penalty.

16 Force Majeure

No liability for failures due to causes beyond reasonable control (internet outages, disasters, acts of authority, etc.).

17 Minors

The Service is directed to individuals over 18. If a minor uses the Service, they do so under the supervision and responsibility of their guardian.

18 Law and Jurisdiction

Mexican law and the jurisdiction of Durango, Dgo. apply; if the Customer is a consumer, this does not limit non-waivable rights or the competence of consumer protection authorities.

ANNEX A — DATA PROCESSING AGREEMENT (DPA)

A.1 Object

Interlinked will process personal data of End Users on behalf of the Customer (controller), exclusively to provide the Services and in accordance with the Customer's documented instructions.

A.2 Confidentiality

Personnel and sub-processors are subject to a duty of confidentiality.

A.3 Security and Breach Notification

Appropriate administrative, technical, and physical measures to the risk; access control, encryption in transit/rest when applicable, tenant segregation, event logging, backups, and MFA.

Interlinked will inform the Customer without delay of security breaches that significantly affect the rights of data subjects, with reasonable details.

A.4 Sub-processors

The Customer expressly authorizes the subcontracting of: Amazon Web Services / Google Cloud (Infrastructure and Hosting), Stripe (Payment Processing), and Google LLC (Artificial Intelligence and Language Models). Interlinked guarantees that such sub-processors are subject to equivalent confidentiality and security obligations.

A.5 Assistance and ARCO

Interlinked will assist the Customer in addressing ARCO rights, managing incidents and authority requests, as well as in impact assessments when appropriate.

A.6 Transfers

When there are international transfers, Interlinked will implement contractual safeguards and verify consents or legitimate bases.

A.7 Retention and Deletion

Upon termination of the service, at the Customer's choice, Interlinked will return or delete data (unless legal retention applies), within reasonable timeframes.

A.8 Audit

Interlinked will make available reasonable information to demonstrate compliance and allow proportionally necessary reviews.
